COMMERCIAL MEDIATION / PROFESSIONAL BRIEFING

Make room for a better conversation.

Mediation creates a structured space for the people in a dispute to explore a solution they can choose and implement.

Start with interests, not only positions

A payment demand, a rejected valuation or an ownership disagreement is usually only the visible part of the problem. Preparation can also explore the need for cash-flow certainty, continuity of supply, control, recognition or a workable exit. Identifying these interests gives participants more than one issue to negotiate.

Prepare the people and the information

A useful initial discussion identifies who needs to participate, who can authorise an agreement and which documents would help explain the disagreement. The process, costs, confidentiality arrangements and the role of any legal advisers should be clear before substantive discussions begin.

Explore options, then make them workable

A proposal may combine payment terms, revised responsibilities, future trading arrangements or an agreed transition. The practical questions matter: who will act, by when, and how will completion be checked? Where terms are agreed, appropriate advisers can help record the settlement and its intended legal effect.
